The Board of Trustees is to act as a committee of the whole. No member or special committee of the Board may act on behalf of the Board except by formal delegation of authority by the Board as a whole.
Section 1. Special Committees. Special committees of no more than two trustees may be appointed by the chair of the Board upon authority of the Board with such powers and duties as the Board may determine, provided that no special committee shall act for more than one year from the date of appointment, and shall be considered discharged upon the expiration of said year, unless specifically authorized by the Board of Trustees at the time of its appointment, of from year to year, to act for a longer period.
Section 2. Proceedings of Special Committee Meetings. Proceedings of the special committee meetings shall be reported at the next regular meeting of the Board of Trustees.
